1. The Services
GRAND provides technology for for-hire transportation in New York: the GRAND Drive app for drivers; consoles for dispatch, bases, finance and administration; tools and APIs for brokers, health plans and other partners; and the ridewithgrand.com websites (together, the “Services”). GRAND also dispatches trips through licensed bases, including its own.
Some Services are offered in beta or by invitation. Features may change, be limited or be discontinued.
2. Eligibility and accounts
- You must be at least 18 and able to form a binding contract. Drivers must also hold, and keep current, every license, permit, registration, inspection and insurance that the NYC Taxi & Limousine Commission (TLC), New York State and the trips they accept require.
- Give accurate, current and complete information and keep it up to date. We may verify it against public records and with third parties.
- Keep your password and sign-in codes private. You are responsible for activity on your account. Tell us right away at [email protected] if you suspect unauthorized use.
- One person per account. Accounts may not be shared, sold or transferred.
- Test identities and test accounts provided by GRAND are for internal testing only and may be turned off at any time.
3. Drivers
Approval: an account, required documents and GRAND’s (or your base’s) approval are needed before you can receive work. Downloading the app or being approved does not guarantee any number of trips, hours or earnings.
Offers and trips: offers show the pay, pickup and drop-off before you accept. You may accept or decline offers. When you accept a trip you agree to complete it safely, lawfully and on time, follow the rider’s assistance needs and the program’s rules, and update trip status accurately in the app. Falsifying trip status, location or records is prohibited.
Relationship: your working relationship with GRAND or your base, including pay rates and classification, is governed by your separate driver agreement and applicable law. These Terms do not by themselves create an employment, partnership or agency relationship.
Safety and conduct: you must drive safely and obey traffic and TLC rules, never use the app in a way that distracts you while driving, maintain a safe, clean and properly insured vehicle, and treat riders, staff and the public with respect. Discrimination, harassment, and service refusal based on disability, race, religion, national origin, sex, sexual orientation, gender identity or any other protected characteristic are prohibited, as is refusing service animals or wheelchair users you are equipped to carry.
Location: GRAND Drive needs precise and background location to dispatch and document trips, as described in our Privacy Policy. You can sign out to stop sharing.
4. Bases, dispatch, finance and partners
Organizations that use GRAND agree to use it only for lawful transportation activity, to keep their users’ access appropriate to their roles, to obtain any consents their riders or drivers must give, and to follow the order form, fee schedule, data or business associate agreement, or partner agreement they have with GRAND, which controls if it conflicts with these Terms.
API and integration credentials are confidential. Do not share them, exceed documented rate limits, probe or test the Services’ security without written permission, or use the Services to build a competing product.
5. Pay, fees and statements
Driver pay, base fees and GRAND fees are set by the applicable driver agreement, base terms, program rules and the terms shown for each trip. GRAND calculates pay and fees from trip records and GPS proof of service, provides statements, and may correct errors. Report a pay question within 60 days of the statement date so we can investigate. You are responsible for your own taxes unless your agreement or the law says otherwise.
6. Communications
By providing a phone number or email you agree that GRAND may contact you about your account, applications, trips, offers, safety and the Services by text message, email, push notification and phone, including automated messages. Text messaging is covered by our SMS Messaging Terms; reply STOP to opt out of texts. Message and data rates may apply. Some messages, such as security alerts and trip-critical notices, are part of the Services and cannot be turned off while you have an active account.
7. Acceptable use
You may not:
- break the law, TLC rules or program rules, or help anyone else do so;
- submit false, altered or someone else’s documents, identity or vehicle information;
- spoof GPS, manipulate trip records, create fake trips, or game offers, pay or fees;
- access accounts, data or systems you are not authorized to use, or attempt to bypass security, rate limits or access controls;
- scrape, copy, reverse engineer, or overload the Services, or use automated tools without our written permission;
- upload malware, or content that is unlawful, harassing, discriminatory or infringes others’ rights;
- misuse rider information, including contacting riders for any reason unrelated to their trip.
8. Your content and GRAND’s rights
You keep ownership of documents, photos and other content you submit. You give GRAND a license to host, process, display and share that content as needed to operate, secure and improve the Services and meet program and legal requirements, as described in our Privacy Policy.
GRAND and its licensors own the Services, software, designs, logos and trademarks, including the GRAND name. We give you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose under these Terms. If you send us feedback, we may use it without obligation to you.
9. Third-party services
The Services work with services we do not control, such as maps and routing, app stores, messaging networks and partner systems. Their terms and privacy policies apply to your use of them, including the Google Maps Terms of Service where Google Maps is shown. GRAND is not responsible for third-party services.
10. Suspension and termination
You may stop using the Services and request account deletion at any time. We may suspend or end access, remove content, or decline or cancel trips if we reasonably believe you have violated these Terms, a driver or partner agreement, the law or program rules; if your licenses, documents or insurance lapse; to protect riders, drivers, the public or the Services; or if required by a partner or regulator. Where appropriate we will tell you why and how to respond. Sections that by their nature should survive termination (including pay owed, content licenses, disclaimers, liability limits, indemnity and dispute terms) survive.
11. Disclaimers
GRAND is not an emergency service. In an emergency call 911.
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, GRAND disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and does not warrant that the Services will be uninterrupted, error-free, or that maps, arrival times, offers or trip volumes will be accurate or available. Nothing in these Terms limits rights you have under law that cannot be waived.
12. Limitation of liability
To the fullest extent permitted by law, GRAND and its affiliates, officers, employees and agents will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, earnings, data or goodwill, arising from or related to the Services, even if advised of the possibility. GRAND’s total liability for all claims relating to the Services is limited to the greater of (a) the amounts you paid GRAND for the Services in the 12 months before the claim or (b) US $100. These limits do not apply to liability that cannot be limited by law, or to amounts GRAND owes you for completed trips under your driver agreement.
13. Indemnity
You will defend, indemnify and hold harmless GRAND and its affiliates, officers, employees and agents from claims, losses and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, the law or others’ rights, or your content, vehicle or conduct, except to the extent caused by GRAND.
14. Governing law and disputes
These Terms are governed by the laws of the State of New York and applicable federal law, without regard to conflict-of-laws rules. Before filing a claim, contact us at [email protected] so we can try to resolve it informally within 30 days. If we cannot, the claim will be brought only in the state or federal courts located in New York County, New York, and you and GRAND consent to their jurisdiction, except that either party may bring an individual claim in small claims court. Claims must be brought within one year after they arise where the law allows.
15. Mobile app store terms
If you download GRAND Drive from the Apple App Store or Google Play, these additional terms apply:
- These Terms are between you and GRAND only, not Apple or Google, and GRAND alone is responsible for the app and its content.
- Your license to the app is limited to use on devices you own or control, as allowed by the store’s usage rules.
- GRAND, not Apple or Google, is responsible for maintenance and support of the app. Apple and Google have no obligation to provide maintenance or support.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation for the app.
- GRAND, not Apple or Google, is responsible for addressing claims relating to the app, including product-liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer-protection or privacy claims.
- GRAND, not Apple or Google, is responsible for investigating, defending, settling and discharging any claim that the app infringes a third party’s intellectual property rights.
- You confirm you are not located in a country subject to a US government embargo or designated as a “terrorist supporting” country, and you are not on any US government list of prohibited or restricted parties.
- You must comply with applicable third-party terms (such as your wireless carrier) when using the app.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as they relate to the app.
Questions or complaints about the app: [email protected], 718-433-4255.
16. General
These Terms, together with the Privacy Policy, Cookie Policy, SMS Messaging Terms and any agreement you have with GRAND, are the entire agreement about the Services. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We may update these Terms; we will post the new version with its effective date and, for material changes, notify you in advance through the Services or by email. Continuing to use the Services after changes take effect means you accept them.
